Aditya Birla Nuvo to buy Biyani’s apparel business

MUMBAI: The Aditya Birla group will buy a majority stake in Kishore Biyani's fashion apparel business under the Pantaloon brand for Rs 800 crore in an attempt to diversify its fashion retail play.

Future Group, which runs Big Bazaar, Home Town and several other retail chains, said on Monday that it will spin-off its fashion apparel format from the listed Pantaloon Retail India (PRIL) into a separate company, into which Aditya Birla Nuvo (ABNL) will pump in Rs 800 crore through the issuance of convertible debentures.

The $35-billion Aditya Birla group, with business interests ranging from telecoms to metals, said in a separate statement that it would make an open offer (of a minimum 26%) to the shareholders of the de-merged entity and will hold a minimum of 50.01%. The Biyani family will hold 25% in the entity.

The Birlas operate independent apparel brands such as Louis Phillippe and Allen Solly through Madura Fashion & Lifetsyle. The Aditya Birla Group company will also take on an additional Rs 800 crore of debt into the new entity. The resulting entity will get listed on the stock exchanges after the demerger process is completed over the next eight to 10 months.

The transaction will help Pantaloon Retail reduce its debt by Rs 1,600 crore, something that has crippled the retailer over the last few years. The group has debts (excluding that of FCH) to the tune of Rs 5,000 crore for its retail business.

Rakesh Biyani and Kailash Bhatia will continue to manage the Pantaloon Fashion business, but the merger is most likely to explore management synergies between Madura and the de-merged Pantaloon operations.

Kumar Mangalam Birla, chairman, ABNL, said, "The proposed acquisition is in line with our strategic intent to be on the top of the league and to create the largest integrated branded fashion player in the country through an extension into the value segment." With this deal, the Birals will have multiple brands, store formats and operate across all apparel categories.

Biyani told TOI that this partnership will create a lot of synergies going forward and that this was just the beginning for things to come in the fashion business as they (Pantaloon) had the retail space and the Birals have a portfolio of brands. Pantaloon currently has 65 stores and 21 factory outlets across the country and is expected to clock a turnover of around Rs 1,700 crore by the end of the financial year in June 2012.

Arvind Singhal, chairman at retail consultancy Technopak Advisors, said that the deal comes in as being good for the Future Group considering the value it has been able to get from the Birlas. "Strategically, this gives the Aditya Birla group greater access to mass markets both in terms of shelf space and also brands. It is up to them how they leverage this opportunity to achieve their target of becoming a multi-billion dollar retail business," he said. The Birals largely operate in the high-end, premium segment of the market with only Peter England catering to the mass market.

Shares of Aditya Birla Nuvo closed at Rs 933, up 0.3%, while Pantaloon Retail went up by 9% to Rs 188 on the BSE. The deal was announced after the close of trading hours.
